Terms and Conditions of Use

These Terms and Conditions (hereinafter, the “Terms”) govern access to and use of the EUCLM platform, operated by [[ FILL: razón social ]](“EUCLM”, “we”), with registered office at [[ FILL: domicilio ]] and tax identification number [[ FILL: CIF ]]. By registering, purchasing a plan, or using the service, you (“the Customer” or “the User”) confirm that you have read, understood, and fully accepted these Terms, the Privacy Policy, and the Legal Notice.

1. Subject matter of the agreement

EUCLM provides a software-as-a-service (SaaS) contract lifecycle management (CLM) platform that enables, among other features: storage and versioning of contractual documents, approval workflows, clause extraction and analysis through explainable artificial intelligence, template generation, advanced electronic signature in accordance with the eIDAS Regulation, activity auditing, and GDPR compliance tools oriented towards European organisations.

These Terms constitute a binding agreement between EUCLM and the Customer. Where the User acts on behalf of a legal entity, you represent that you have sufficient capacity and authority to bind that entity.

2. Acceptance

Acceptance occurs upon completion of registration, by clicking “I accept the Terms” or equivalent, or by beginning to use the service after having been informed of these Terms. If you do not agree, you must refrain from using EUCLM.

3. Description of the service

The service is provided as a multi-tenant cloud solution with logical isolation per organisation. Specific features depend on the plan purchased, as published on the pricing page (/en/#pricing or the equivalent localised route). EUCLM may continuously update or improve the service, endeavouring not to materially degrade the essential features of the purchased plan without reasonable notice.

Electronic signature is provided through integration with qualified providers in accordance with eIDAS. EUCLM does not provide legal advice; AI-generated content is indicative and must be reviewed by qualified professionals before contractual use.

4. Registration and user account

Registration requires a valid email address and the creation of secure credentials. You are responsible for maintaining the confidentiality of your credentials and for all activity carried out under your account. You must immediately notify any unauthorised use to legal@euclm.com.

EUCLM may suspend accounts with false, incomplete, or non-compliant data. Organisation administrators may invite additional users within the limits of their plan.

5. User obligations

The Customer agrees to:

  • Use the service in accordance with applicable law, these Terms, and reasonable instructions from EUCLM.
  • Not upload unlawful, defamatory content that infringes third-party rights or contains malware.
  • Not attempt unauthorised access to systems, accounts, or data of other customers (prohibition of unauthorised reverse engineering, aggressive scraping, denial-of-service attacks).
  • Ensure that you have a sufficient legal basis to process the personal data you enter into the platform, particularly data relating to signatories and third parties included in contracts.
  • Maintain your own backups of critical documents where your internal policy requires it, without prejudice to EUCLM's measures.

6. Pricing and billing

Current prices, user limits, storage, and AI credits are published on the pricing page and in the billing section of the dashboard. Unless otherwise stated, amounts are expressed in euros and include VAT where applicable under tax regulations.

Subscription billing is recurring (monthly or annual depending on the plan) through the Mollie payment processor. Non-payment entitles EUCLM to suspend access after reasonable notice. No pro-rata refunds will be issued for unused periods except where mandatory law or an express commercial offer requires it.

7. Trial period

EUCLM may offer a free trial period of 14 days for new organisations, with no credit card required in the mode indicated on the website. Upon expiry of the trial, access may be limited to read-only mode for a brief grace period until a paid plan is purchased. No automatic charges will be made upon expiry of the trial unless you have provided payment details and expressly activated a paid subscription.

8. Suspension and termination

EUCLM may suspend or terminate access, in whole or in part, in the following cases: (i) serious or repeated breach of these Terms; (ii) non-payment; (iii) risk to the security of the service or third parties; (iv) requirement of a competent authority; (v) cessation of the service, with a minimum of 30 days' notice where reasonably possible.

The Customer may terminate at any time from the billing dashboard or by contacting support. Upon termination, the retention and deletion period described in the Privacy Policy applies (30-day grace period for export).

9. Intellectual property

EUCLM and its licensors retain all rights to the software, documentation, trademarks, and platform materials. The Customer is granted a limited, non-exclusive, non-transferable, revocable licence to use the service for the duration of the agreement.

The Customer retains ownership of the documents and data you upload. You grant EUCLM a limited licence to host, process, transmit, and display such content solely for the purpose of providing the contracted service.

10. Confidentiality

Each party shall treat as confidential the other party's non-public information obtained in connection with the agreement, and use it only for its performance. This obligation survives termination. EUCLM implements technical and organisational measures in accordance with Article 32 of the GDPR; details of sub-processors are set out in the Privacy Policy.

11. Limitation of liability

To the maximum extent permitted by mandatory applicable law, EUCLM's total cumulative liability for direct damages arising from these Terms shall be limited to the amount paid by the Customer in the twelve (12) months preceding the event giving rise to the claim, except in cases of wilful misconduct or gross negligence, personal injury caused by negligence, or liability that cannot be excluded under consumer protection regulations.

EUCLM shall not be liable for indirect damages, loss of profit, loss of data due to causes not attributable to breach of its duty of care, or legal decisions taken by the Customer based on AI outputs without human review.

12. Force majeure

Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorist acts, pandemics, widespread telecommunications or power failures, or acts of public authorities, provided the other party is notified and reasonable efforts are made to mitigate the impact.

13. Amendments

EUCLM may amend these Terms for legal, technical, or commercial reasons. Material changes will be communicated at least 30 days in advance by email or notice in the application. Continued use after the effective date constitutes acceptance. If you do not accept the changes, you may terminate the agreement before the effective date without penalty.

14. Notices

Contractual notices will be sent to the registered email address of the account administrator or to the Customer's postal address if recorded in billing. You must keep your contact details up to date.

15. Governing law and jurisdiction

These Terms are governed by Spanish law. Unless mandatory consumer protection regulations provide otherwise, the parties submit to the courts of the consumer's domicile or, for business customers, to the courts of the city of EUCLM's registered office.

16. Dispute resolution

Before resorting to litigation, the parties shall endeavour to resolve any dispute amicably through good-faith negotiation for a period of thirty (30) days from written notification of the conflict. Consumers may access out-of-court dispute resolution systems and the European Commission's ODR platform: https://ec.europa.eu/consumers/odr.
